“YOUR MERCHANT BANKER”

Over the several years, RYS & Co has seen many companies lose ground in the capitalization battle due to the economic climate and fear in the financial markets. Some companies continue to struggle to get to the next step and are unsure who to hire or what to do to get there. And, while some companies strive to grow and move forward, some well positioned companies are still trying to be sold a year after they first listed their business.

RYS & Co has developed a dynamic new program that will give your company access to a wide range of advice, services and execution support in this very difficult market for the price of a mid-level management employee. Overnight, your firm can have a fully functional, merchant banking department to take you where you need to be. The Your Merchant Banker program was developed for companies seeking to recapitalize, acquire another business or even sell their business and will turn your firm into a deal maker in these tough times!

The Your Merchant Banker program is the most cost effective value-added solution in the marketplace today. It provides companies with the tools and resources to tackle and achieve their objectives without adding to their overhead. The program’s expense is considerably less than hiring an outside team of lawyers, accountants and consultants to accomplish the task.

For qualified service firms, the Your Merchant Banker program can also become an income center. For some companies growing through acquisition, it will allow them to charge for the due diligence on the target acquisitions as opposed to paying for it. This can result in extraordinary savings in both time and expenses.

If your company has been looking for growth solutions or has been for sale for a prolonged number of weeks and months, we would like to discuss how this program could work for you. In the meantime, I have provided a couple pages summarizing the Your Merchant Banker program. I look forward to showing you just how you can get ahead!

Reporting and Communication

It is critical to any successful transaction to keep information flowing. As an arm of your company, Your Merchant Banker will establish regular reporting and communications to include electronic reporting, including emails and memos, and conference calls with you. Your Merchant Banker is also available by phone. The program dedicates a direct line to Your Merchant Banker contracted firm for the term of the contract. This reduces overhead associated with handling incoming calls that need to be directed or redirected to Your Merchant Banker staff.

Who needs Your Merchant Banker?

You may not, but if you’re planning to raise capital, acquire a business, or struggling in this market, then Your Merchant Banker will give you ready access to resources. Your Merchant Banker will also give you more credibility, will project strength to the market, and will make a clear statement that you are bullish on opportunities in this down market within your industry.

What if the company is being sold?

For companies selling their business or preparing to do so, it will most likely hire a business broker or merger and acquisition firm based on success fees of 5% to 12%. These firms cannot and will not help a company build value and prepare for the transaction in any substantial way because they cannot afford to. Their job is to list the business and hope to find a buyer while it sits.

For the selling company, the Your Merchant Banker program offers a set fee for the term of the contract. There are no surprises, and no variables in what your company will pay for its integrated services. If you sell your business through a business broker or merger and acquisition firm and pay their success fees, you will pay well in excess of the fees you would have spent Your Merchant Banker program. And using our Your Merchant Banker program, you may very well get a better price for your business because we will not only list it for sale, but we’ll also help you position and prepare for it. With the Your Merchant Banker program, you will not list your company, and sit and hope for it to sell at your price.

What if a company offers a competing merchant banking service?

Depending on your industry focus, the program can also become an income and profit center for your firm. Your Merchant Banker will become breakeven from an operating standpoint in 6 months and become profitable as an income center within 12 months through aggressive marketing. For companies that use Your Merchant Banker as an income center, net fee income generated through re-sold services will be split with RYS & Co on a pro rata basis (after associated staffing and professional costs). At no time will your firm see less than 20%. Contracting Your Merchant Banker can be the most cost effective way to not only buy, sell or recapitalize your business with the added value proposition that your firm will have access to the staff for your own needs, but also generate additional income without expanding your overhead.
